Keep the operating system, do not upgrade whatever the fuck you do. Downgrade if necessary, XP uses less power. Everything else looks ok to me, but what do I know, im not a technician. What type of computer user are you (Gamer, Programmer, Modeller, video editor etc.) ?
Probably the CPU, followed by GPU, what power supply do you have, and what is your budget? The motherboard listed can use Phenom II x4 955 after a BIOS upgrade, so grab that.

XP does use a lot less of ram and shit, look on the back of games, you need double the ram in Vista and 7.
