• Is this a useable version of W7, or just an upgrade from older version

It requires you to have XP or Vista already installed. You install it over the top and it upgrades your OS to 7. It's fully featured, it's Windows 7. The only thing missing is the ability to install right off the disc onto a freshly formatted HDD. It's not the ending of the world, but it's a pain in the backside to have to install XP/Vista first everytime you wanna to refresh your Win7 Install.

Well Could i install it OVER a faulty XP installation (Ex. Not using a legit key, But a legit version of it.)
Actually as far as I know, Upgrade versions of OSs have the ability to make clean installs, so long as you have a serial code from the previous OS. I need someone else to confirm that though.

OEM is the type of licence, really. OEM operating systems are [i]meant[/i] to be sold to OEM Computer Builders only. (Dell/HP/etc). It's just the CD and the CDKey. No retail box, no manuals. The OEM licence states that you can only install an OEM Operating System on a single set of hardware, excluding minor changes. That is to say, you are meant to go buy a Dell that comes with the operating system. When you are done with that machine you go buy another dell, Which comes with it's own brand new operating system. RETAIL versions allow you to install it on any one computer at a time. Microsoft generally don't want consumers buying OEM operating systems without computers because they make less money on them. However it's a bit far gone now, every online computer store offers OEM software. MS try and limit you a little with the licence and they say the OS deactivates if it detects too many hardware changes tied to that single KEY.. but in reality it's very rare. Even if it does happen you just call them up and tell them your Mobo broke or something and they re-activate it.
