I don't think there's a problem of having two somewhat similar games, even then it seems like the new Prey is going to have some things to make it different from System Shock, similar to how Dishonored has it's differences from Thief TDP/TMA.

We've known for a while actually that they planned to make a System Shock 3. System Shock 3 was teased at the end of the previous game no less, and Night Dive is actually really solid and dedicated with this stuff, the only problem they had originally was getting the rights because things were a mess across several different countries and people with various claims to the IP. They finally got that all sorted about a year ago and we've known about System Shock 3 for a while since.
[sp]Entirely unrelated to the System Shock name and just piggy-backing, as it has been doing the whole time. It has no relation to System Shock and no relation to the Prey novel. Just happy little accidents for Zenimax and Arkhane.[/sp]

Night Dive are developing the remake, I don't think they're involved (or at least as involved) with System Shock 3 though.
However, Otherside Entertainment are the ones primarily working on SS3 and that's made up of a TON of people who worked on things like the original LGS/Irrational games and Deus Ex: GOTY so there's still alot of trust to be had there.

Yes, that is true.
That doesn't necessarily mean that they are the ones primarily developing System Shock 3.
