He's labeled as a Street-Level superhero, while the Avengers are galactic superheroes. People like Power Man (at least in terms of the new Ultimate Spiderman, whereas before he was leader of the New Avengers) and Iron Fist are the same way. He isn't nearly as powerful, but he is powerful in his power bracket.

I don't doubt he'd be able to make some device that'd cancel Spider-man's spider sense and get a web destroying device or weapon, but in an all out fight with no prep given to batman, spidey can most likely beat him (keep in mind I don't know that much about Batman though)

Spider-Man has no really exploitable weaknesses, and one of his primary powers is to sense danger and, before it has a chance to hurt him, be able to get out of the way of or counter said danger, theres ways to block that, but they're not exactly easy.

Batman aint got shit on that, especially because Spider-Man has no exploitable weakness.
