That CPU is cheaper, and performance difference is barely noticeable. Also, it overclocks easily, I have mine at 3.6 @ stock cooling, 41 C under load

4 cores (no L3 cache) vs 2 cores (black edition)
The missing L3 cache doesn't seem to make much of a difference. I have one, and I was running GTA4 on it really well.
