Recently my PC is running slower than normal. It needs a re-format. I have next to me a copy of Windows 7 Ultimate 32-bit and Windows 7 Ultiamte 64-bit. I am currently running the 32-bit copy. Which shall I re-format with?
I have 4gb DDR2 RAM (Capped at 3.25gb) and a brand new AMD Phenom II X6 2.8GHz.
64-Bit. Do it.
Yes there are no downsides, no drivers issues, and no software issues unless you use software from the 90's.

well there is some driver issues with linksys wireless adapters, crashes my computer my all the time but i just make sure to save allllll the time

Download that to make sure your CPU is 64-bit capable.
If in the instructions area it says EM64T (on Intel CPUs) or AMD64 (on AMD CPUs), then you're good to go.

That's like the mistake of the century.
Do it, all 32bit programs will still run fine on it, and you'll be able to use the whole 4GB of ram.

He's going to most likely run into at least one driver issue at some point unless he knows how to run unsigned drivers. I used DSEO just so I could install *and run Virtual Audio Cable.

Unsigned drivers install fine for me, it just warns me. doesn't this only happen if you don't turn UAC completely off?
Running OEM windows 7 professional 64-bit UK.
Unsigned drivers install, sure, but they don't run because of the way 64-bit handles drivers. Any driver without a digital signature is not allowed to run.
I don't use UAC and I disable it first thing every time I reformat, and it doesn't matter to begin with since the same limitation was in the (rather shitty) x64 version of Windows XP as well.
