What key?
You right-click on 'Company of Heroes' in your Library and click 'View CD-Key' then hit 'Copy to clipboard' and then you simply go to 'Add a non-steam game' then 'Activate a product on steam' and then paste in that cd-key you copied to the clipboard earlier and you should be able to install 'Company of Heroes Retail Beta'.

Alright I just thought it was kind of silly activating the same cd key twice.
