Overlord II fixed a lot of the problems from the first game. The voice acting is more consistent, though not amazing, and the story is just "Go take over the world". Plus the morality system makes much more sense for a game about being evi, you're either the bad guy who kills everyone or you're the bad guy who enslaves everyone.
I much preferred the first game, Also he didn't go into detail showing who the real villain/bad-guy is.
