Get 4.1. 4.2 has some pretty useless updates, and the only jailbreak available is tethered. Not worth it.
Get 4.2 because it's faster than 4.1.
I heard some apps are more stable on 4.2

Well, a tethered jailbreak isn't that bad but it certainly does add an extra dimension of inconvenience. Honestly, there's very little benefit of this over 4.1, so it's frankly stupid to upgrade.
The only thing that strikes me as useful is the text search on webpages.
Maybe the performance improvements as well, but since I don't know how much (if at all) these apply to a 3rd gen touch I can't see why I'd upgrade. Still at 4.0 because I can't be bothered to upgrade and lose jailbreak, and as GenericMonk said, 4.2 is tethered and it's inconvenient.
Improved battery life, better networking layer that improves network congestion and improved performance. Tethered is a dealbreaker though. :colbert:
I'm with 4.0 too, can't be bothered to upgrade and re-jailbreak.. Too much of a hassle (I've got a 2nd gen iPod Touch).
3.2.0 -> 4.2.0 was worth it on the ipad (since 4.1 wasn't supported) even without the jailbreak. I finally get folders and multitasking...
Is being tethered really THAT big of a deal? It'll let you reboot into a non-jailbroken iPhone/iPod/iPad as long as you're not using any MobileSubtrate extensions that fuck with Springboard..
I haven't updated yet though. More laziness than anything else.

I don't like tethered because the one time I take no computer on a trip my phone just fucked up (full power, working fine and then crashed) and demanded to be hooked up to iTunes after a reboot. Since then I will never use a tethered JB again.

Not all tethered JB's will allow you to do this and is actually quite uncommon. Most will just present the "Connect to iTunes" screen.

If I remember correctly, MuscleNerd said on his twitter that the current redsn0w jailbreak will let you reboot into a vanilla iPhone as long as there is nothing that fucks with SpringBoard.
