Open sourcesdk.gcf in GCFscape, browse to the sourcesdk_content/tf/modelsrc/*CLASSNAME*/parts/smd/ folder and grab the smd from there. Then import it into 3dsmax using wunderboy's SMD importer and make sure you got the "convert from left-handed space" checkbox checked.
(You could also just decompile a hat model)

Apply a skin modifier to the hat and add the bone "bip_head" (Pyro, Medic, Demoman, Heavy, Spy) "prp_hat" (Sniper) or "prp_helmet" (Soldier, Engineer) to the list.

Yeah. It'll stay attached to the head if you add bip_head and it'll stay attached to the hat/helmet if you add prp_hat or prp_helmet. (The Soldier's helmet and the Engineer's helmet tend to wobble and the Sniper takes off his hat in his Kukri taunt, so that's why you have to do that sometimes)
