Shift+A, create Armature, Single Bone, select model then bone, Ctrl+P, Armature Deform > Empty Groups (or automatic groups if you only have one bone). If empty groups, manually assign vertexes to groups. Of course, this is in Blender 2.55. I don't know how to use 2.49.
