Iron Man should win every single time. He's physically superior to Spider-Man in every way, excluding agility, and with Stark's upgrades, that gap has been narrowed down quite a bit. That's not even taking into consideration the various weapons and defensive systems the Iron Man armor possesses like setting off false positives to nullify Pete's spider sense entirely. Spidey would be able to dodge IM's attacks for awhile but it would be only a matter of time until he was hit by an effective shot because he's not able to disable Stark's suit with his current powers.

I think it would depend on the environment, in a high-population density area it may be quite an even match, Spider-Man is good at using his environment to his advantage. Not to mention that buildings and other structures would offer cover and stealth protection from Iron Man's weaponry. Spider-Man can easily manipulate the area to conceal his position where Iron Man is extremely noticeable regardless of where he is. Also a lot of Stark's weaponry is null due to the fact that Spider-Man is essentially a fucking tank who can easily withstand some heavy weapon blows.
But yeah, I'd put my money on Stark as well.
