Nope, you can install Windows 7 without key and then do an upgrade. Heck, you can even install Windows 8 WITHOUT Windows 7. I installed my legit 15$ Windows 8 on top of my Windows 8 RTM Enterprise.

Once I got used to it and organized it, the start screen is basically just a start menu but fullscreen and with more capabilities and info.

The one thing that bugs me though is that it opens Chrome in its own process, so when I click a link in Steam chat for example it opens Chrome on the desktop and I'm not logged into anything. Really annoying.
I've got a convertible Thinkpad X230 that came with Win7 Pro and I got the $15 upgrade to Win8 pro.
I'm pretty impressed with it so far, my laptop is convertible with a capacitive touchscreen, so I'm able to make use of the touch-oriented stuff. Everything is hell-of snappy and really sharp. Resuming from hibernate is only a few seconds back to desktop, but a cold-start takes a pretty long time. (Using a mechanical HDD, not an SSD) Longer, in fact, than Windows 7.
My laptop is suited to benefit from the extra stuff, but I don't know if I'm going to put Windows 8 on my desktop. I know I won't be in the immediate future, at least.
It's amazingly sexy and I'm loving every minute of it. I only have two complaints at the moment:
1) Metro chrome has a terrible ui (for a metro app).
2) All the people that are complaining about 8 without ever even trying it.
For $40, you just can't go wrong. If you hate the new explorer then just use a modded one that looks like the Windows 7 explorer. There are plenty of mods for it

Can I use windows 8 upgrade edition to upgrade a system which is running an unactivated windows 7?
I find it convenient to use for everyday tasks but I find the attempted integration between metro and traditional desktop extremely awkward.
I think Metro will be great for basic computer users but for others there should be the option to turn of metro and have a sexy new and improved version of Windows 7.
Like I love all the enhancements done to taskmanager, explorer and of course those performance increases. But metro kinda bothers me...
I thought I would hate Win8, but then I decided to try it for $15 and it was definitely worth it. If you have any thought of getting it, I say get it now before the price goes up.
Its ok, although i had to reinstall today.
Its fast and gives great performance on my laptop, the UI, im still getting used to

After putting Start8 on it, brining back the start button and menu, it is great. A lot faster and the new features here and there are great. I was about to format anyway so I figured I might as well get W8.

I honestly just hate metro, that is the only thing I don't like is metro. Everything else is really damn cool but metro is a nuisance and if spending $5 will make it go away then I might just get windows 8 now.

It is fine but the transition between the desktop and metro is very awkward to be honest. It was still designed to be more tablet friendly than pc friendly in my opinion.
I installed start8 and while its great its still going to suck when most programs like Microsoft office for example are designed for Metro.

Ehh, they pretty much aknowledged that it's hard to do Office in such a format by releasing it only working in desktop mode for both RT and 8. I think you're making baseless assumptions.

The only one that's less feature-filled is the RT version as well, and the Metro OneNote is dumbed down to make it easier for, y'know, notes.
Newegg had The normal and the pro version on sale for the same price. I bought the pro one, Ill sit on it for awhile before i change over.
