I'm gonna be unbiased and not believe either JWJ or Matt, since the internet isn't exactly the best medium for having any form of substantial un-falsified evidence either way.
However, Matt, surely you can accept that essentially taking a company, firing the employees who have built it from the ground up (for whatever reason, it doesn't matter if they sucked for a couple of weeks) and then taking $600,000 and not letting them see A SINGLE CENT makes you A) completely blackhearted and B) completely despicable.
I just don't get how you can do that to a fellow human being, especially when you'll be making 120times more than he got for his own company, just a week after you fire him. You see no way this could be interpreted badly?
Lastly, did you not realise that when you were leaving a voice message that their sole function and use is to record messages?

Oh those poor buyers.
After Matt started doing the phone calls and shit, he lost what little credibility he had left, and so JWJ will pretty much be able to claim anything, and people will believe him instead of Matt of whatever Matt will say. While it's sad that Matt will be inable defend himself properly, he dug this hole himself, and I don't really feel any compassion for him at all. Especially since he denied him saying SWAT, Police or whatever at this very page.
I always used to think Brohoster were pretty cool. :(

Jacob was fired for reasons that are clearly outlined, although everyone seems to ignore 99% of them and jump right to the use of weed
The company is tanking because $12,000 mysteriously disappeared while moving from Jacobs PayPal accounts to ours (And then he blackmailed another $2k out of us)
Softlayer is likely going to shut everything down at 10am Monday morning regardless because that missing money was supposed to go to Softlayer to pay our monthly bills
[highlight]Bullshit, bullshit, and more bullshit. $5000 of that went to your completely unprofitable VPS company ClubUptime, $4000 went to my bank account when you revoked my control over billing, and the other ~$3000 went to upgrading those boxes with SSDs. We already went over this, so stop randomly coming out saying I stole a bunch of money even though we both agreed on the fact that all the money went to the proper places. The only reason you're a month behind is because your company got DDoSed and you couldn't pay a bill (quoting you here).[/highlight]
I’ll do the “Honorable” thing in your eyes and I’ll simply hand back the company to Jacob.
I’ve wanted nothing to do with it since day one. Jacob came to me because Brohoster was about to go broke, just as it is now. He looked for a buyer to save it, which I did. Jacob claims there was some $5,000 buyout price when there wasn’t -- it was agreed that I would take on the company and that he would be kept on staff (provided he actually worked and did well) in exchange for us to cut the monthly server costs in half and make the company actually grow. As long as he did his job well, he could keep running things. I never jumped in and changed things because honestly, I didn’t care. Everything was running smoothly and it was growing.
There are a lot of things that were severely wrong with what Jacob had done that lead to him getting fired. I’ll provide a list, as I promised I would a few weeks ago --
Jacob was highly negligent
He left the firewalls fully disabled on every last server and simply refused to enable them.
[highlight]For a reason. TCAdmin has no proper/easy way of providing ports to clients and if something got on the box that could respond to network traffic, we're fucked anyways. It doesn't matter if all ports are opened or not.[/highlight]
He left a copy of the WHMCS Database in public web space without anyone knowing, alongside an archive that included all encryption keys. Had we not re-installed WHMCS and re-keyed everything, everyones credit cards would be at risk.[highlight]It was an arbitrarily named tar file containing the backup of the website. We forgot about it, big deal. There wasn't any credit card data there either, and even you said that this wasn't really an issue because of that fact.[/highlight]
Knowing full well that there were server issues on several occasions, he simply did nothing or was on drugs at the time which prevented him from fixing the issues

Jacob had issues with authority

On several occasions, we directed him to fix parts of the network which he never did.

We explicitly told him how much he could over allocate on servers, which he simply didn’t listen to. You know how your server lags? Well, it’s because Jacob has put so many Minecraft servers per host node (130+ in some cases) to where the Windows Paging files are 40-50GB in size, attempting to run as RAM.
[highlight]No node ever had 130+ servers on it, we never had a box go over 80. Also an exaggeration, the pagefiles couldn't even be that big because I set the max size to 24GB. And as I've said before, the page files did nothing to cause the servers to lag. Stop blaming 1.6's extra resource usage on things I did. You don't even know how our infrastructure works, how could you possibly know what's causing minecraft to lag?[/highlight]
Jacob wouldn’t handle prominent tickets flagged for his attention
[highlight]Pot calling the kettle black. We flagged tickets to you all the time and from what I'm hearing you still aren't doing tickets that get flagged to you. The only reason I wasn't doing that was because of how horridly busy I was keeping the P.R. and ratings of our company up 18+ hours a day.[/highlight]
On many logged occasions, myself as well as other staff members had to remind jacob several times to complete tickets flagged to him. Our support ticket queues would be empty, yet there would be 100+ tickets flagged for him at any given point in time (some 50+ days old) simply not being completed. Simply things such as EPP codes (anyone feel like they’ve heard that one before?) not being provided to clients to large things such as refunds not being processed -- Things weren’t getting done.
Jacob became a legal liability
Once Jacob started posting pictures of his drugs online, and posting up stories of his drug use, he became a legal liability. The vast majority of our client base are parents of younger children who pay the bills. We’ve had several complaints from parents over our slogan alone. Honestly, I think it’s rather revolting, but just as “sex sells”, so does the Brohoster slogan.

With several BBB complaints coming in over the fact that Jacob was not issuing refunds (And Jacob STILL didn’t issue the refunds or provide the EPP Codes knowing full well that the reports were received), it became a problem

I hired your friend on as a billing manager because I needed someone else to handle it and he did absolutely jack shit - in fact, he didn't do much work at all for a couple of weeks straight. I never filed a complaint with ICANN over the domain name, nor did I steal it out from under him. I said that I would file a complaint with ICANN as the domain was legally mine, as he agreed in writing. Jacob was supposed to hand us over the domains back in December, but he never did. I never worried about it since things were running smoothly up until recently. In addition, 6 weeks ago Jacob was given final notice to turn over the domains otherwise he would be let go, and he never turned them over.
[highlight]If I recall correctly, you fired and asked questions later. In fact, you called my apartment complex to tell them I no longer had a paying job before you called me. You asked me for the domains later in the day.[/highlight]
I did NOT steal the company from Jacob. As explained above, Jacob was highly irresponsible and ultimately lead to his own firing.
I did NOT want to fire Andrew at all. He was an outstanding employee up until this past week, when he started to develop a horrible attitude towards not only us in management but the clients as well. There are over 30 client complaints towards himself in a period of 3 days. He took a day off for “stress” because we told him that he needed to improve his work performance or his work ethic. We actually enjoyed having Andrew on staff -- He was damn smart and knows his stuff. I’ve got nothing against him. But yelling and being highly rude to clients just isn’t able to be tollerated -- especially when his reasoning/thought process was entirely incorrect to begin with, so there was no basis to tell the clients anything at all. [highlight]The reason he became like this is because you completely and utterly destroyed the communication and teamwork within Brohoster. What I was keeping together pretty much fell to shambles once I got kicked out.[/highlight]
EPP Codes for domains are being handled manually. You guys are posting up all over the place wanting to file with ICANN and what not -- There’s only one person who can handle them and that’s myself. Jacob never once handed out an EPP code (Unless absolutely forced to do so). When he was fired, he finally provided the domains to myself, and I’ve been handing out EPP Codes as requested. Any client who requests one also needs to understand that Namecheap (the registrar Jacob decided to use) will only email the EPP codes to the registrant -- they won’t provide the EPP codes through the Web interfaces or API. Once I send out the EPP codes, it’s sent to whatever email address is on file for the domain itself.
So I’ll say this -- I’ll give the company back to Jacob and let you guys deal with him again. Jacob will get my terms privately, and they won’t be harsh at all. He can essentially have it back. But I will say this: In the condition the servers are, have fun. With the financial status of the company, have fun. It might make $10k/month or so in profits after all is considered, but that means nothing when the company is a month behind on it’s bills because the self-proclaimed Ex-CEO walked with a LOT more money than the $5,000 that he says he did.
My last note is that since I took over the company, he was never CEO. He was on the books as General Manager. He ran around for 5 months claiming himself to be the CEO, but that sure as heck wasn’t the case.

I’d also like to note that over the past month since I took over Brohoster, I’ve rolled out several new servers just to take some of the overloaded crap that Jacob left laying around. Page files are NOT meant to be 50GB+ in size.

I’ve also given ALL staff raises since Jacob was paying half the staff $50/week, which simply wasn’t right since most of them were handling 100+ tickets every single day. That works out to about 7 cents per ticket answered when industry standard is between $1.25/ticket and $2.50/ticket.
